Terms and Conditions

The General Terms described below establish the rules of use and access for the website www.healthy-fork.com (the "Website") and the Healthy Fork mobile applications available for iOS and Android on the App Store and Google Play Store, respectively (the "Applications"). These terms govern interaction within the Healthy Fork digital platform (the "Platform"), which includes both the Website and the Applications, and all content available to the Platform's users (the "Users"). The Platform and its content are the property of Innovación y Nutrición Darcet S.A. DE C.V., hereinafter referred to as "HF".

Any person who decides to access and/or use the site or the services will be subject to the general terms and conditions, in addition to all other policies and principles that are deemed incorporated therein by reference. It is important to emphasize that use of the platform implies full acceptance of these terms and conditions.

ANY PERSON WHO CREATES A USER ACCOUNT AND MAKES USE OF THE PLATFORM WILL BE SUBJECT TO THE GENERAL TERMS AND CONDITIONS. ACCEPTANCE OF THESE TERMS IS MANDATORY AND BINDING ON ALL USERS. THOSE WHO DO NOT AGREE WITH THE TERMS MUST REFRAIN FROM USING THE SITE AND THE SERVICES OFFERED.

The user must read and understand all the conditions established in the General Terms and Conditions and in the Privacy Notice, as well as in other documents incorporated by reference, at the time of creating a user account. This process is clearly mentioned during registration. The failure to read and understand them will not exempt the user from the obligations established in this contract of adhesion. The use of the services entails the express and complete acceptance by the user of all the policies detailed in the General Terms and their Annexes, as well as any other current or future policy. Furthermore, it implies acceptance of the principles added to these documents by explicit reference in relation to the services offered.

Purpose and restrictions

The Platform has been designed to provide information about the nutritional services offered by HF. These services include access to an algorithm designed to help the user maintain a healthy diet and control their weight. The service (hereinafter, the "service") allows the user to select dishes at restaurants according to HF's criteria and offers personalized menu recommendations, based on the data recorded by each user and their nutritional objectives. These recommendations are based on the nutritional methodology established by HF and are adjusted according to nutrition formulas specified in the annexes.

It is important to emphasize that HF assumes no responsibility for the accuracy of the data provided by the user. In addition, HF is not responsible if the user has conditions such as, but not limited to, pathologies, intolerances, allergies, chronic degenerative diseases, metabolic disorders, or other health conditions.

Furthermore, HF explicitly prohibits the use of the platform by users under 18 years of age. HF is not responsible for users over 60 years of age, nor for those who suffer from pathologies, intolerances, allergies, adverse reactions to any type of food, or chronic degenerative diseases.

This platform serves as a guide and support for users; however, it is important to keep in mind that results may vary according to each person's physiology and metabolism. The platform focuses exclusively on providing nutritional advice and dietary recommendations aimed at the loss of body composition or reduction of the body mass index. Therefore, HF is not responsible for users who seek to increase their body composition or who have other physical or athletic objectives.

Capacity

The services of this platform are available only to persons who have the legal capacity to enter into contracts. Persons who lack this capacity, minors, or Healthy Fork users who have been temporarily suspended or permanently disabled may not use the services.

If a user registers as a company, they must have the legal capacity to contract on behalf of that entity, complying with the respective legal criteria. By doing so, they bind the company to comply with the terms of this agreement.

Registration

To register and use the Healthy Fork platform, it is essential that the user be over 18 years of age. They must download the HEALTHY FORK application and create an account in the registration section established by the application. It is mandatory to complete the registration form with valid and truthful data in all its fields. The lack of accuracy in the information provided may result in the temporary or permanent disabling of the account.

The user must provide their personal information accurately, precisely, and truthfully (referred to as "Personal Data") and undertakes to update and/or rectify the Personal Data as necessary. The user authorizes Healthy Fork to use various means to verify their personal data, assuming responsibility for reviewing it, rectifying it, and keeping it up to date. Healthy Fork is not responsible for the accuracy of the Personal Data provided by its users. Users guarantee and are responsible for the truthfulness, accuracy, validity, and authenticity of their Personal Data.

HF reserves the right to request supporting documents and/or additional data to corroborate the Personal Data, and also to temporarily or permanently suspend those users whose data could not be confirmed. The account is personal, unique, and non-transferable, and it is prohibited for the same user to register or hold more than one account. The user must understand that holding multiple accounts may compromise the nutritional results.

If Healthy Fork detects different accounts with matching or related data, it has the authority to cancel, suspend, or disable them without prior notice or possibility of reinstatement. The user is responsible for all operations carried out in their account, given that access is restricted through the use of a Security Password known exclusively to them.

The user undertakes to notify Healthy Fork immediately and through a suitable and reliable means of any unauthorized use of their account or the entry of unauthorized third parties into it. The sale, assignment, or transfer of the account (including reputation and reviews) is expressly prohibited.

HF also reserves the right to reject any registration request or to cancel a previously accepted registration, without the obligation to communicate the reasons for its decision and without this giving rise to any right to compensation or indemnification on the part of the user.

Amendments to the Agreement

Healthy Fork reserves the right to modify the General Terms and Conditions at any time. The modified terms will be made public on the site and will come into effect 10 (ten) days after their publication. The modifications will be notified to users who have opted to receive notifications about changes to the Terms and Conditions via email, a setting available in the user account.

Users who do not agree with the modifications implemented by Healthy Fork may request the cancellation of their account. This cancellation may be carried out directly from the settings section in the mobile application or by contacting support via the email support@healthy-fork.com for the proper deletion of the account.

The use of the site and/or its services implies acceptance of these General Terms and Conditions of use of Healthy Fork

User cancellation

The user may cancel their HF subscription through the app by following the instructions in the "my account" section up to 24 hours before their cut-off date in order to avoid automatic renewal. Upon confirming their cancellation, the user will lose access to menu recommendations and all additional services offered by HF for the next billing cycle. However, they will retain access to the geolocation and information of dishes in the restaurants selected by HF, as well as to foods and recipes. If the customer cancels during the remaining time within that billing cycle, they will still have access to menu recommendations until the end of the cycle.

The subscription is contracted for monthly, quarterly, and/or annual periods, and it is not possible to contract it for a period of less than 30 days. If the user cancels before the end of a billing period, it will be understood that they are canceling on the platform, even if their billing period has not concluded. In addition, if the subscription period has not ended, the account will be deleted and there will be no refund for the remaining period of the subscription or for the remaining days.

Additionally, the user has the option to cancel by contacting HF directly via the email support@healthy-fork.com. In doing so, they must follow the instructions provided to complete the cancellation process effectively.

Payments

By registering on the platform, the user implicitly accepts the general terms, the privacy policies, and the provision of the requested data. To access the recommended menus and the nutritional methodology, the user must make payment for their subscription, which may be monthly, quarterly, or annual, as chosen. It is essential to have a user account in the application, the platform, or the services derived from HF in order to proceed with payment. If the user does not have an account, they must create one in the registration section.

Payment management is carried out through Stripe, an independent payment platform that guarantees secure and efficient transactions. Our database is connected to that of Stripe, facilitating integrated and secure handling of transactions. Any question or problem related to the payment system must be directed to Healthy Fork via the email support@healthy-fork.com, including all necessary details and any additional data that HF may require.

Upon registering, the user obtains a 7-day trial period to use the application at no cost and with no financial commitments. After this period, access to premium features is restricted until the membership is formally accepted. At that point, a payment link is provided to collect the banking data necessary for a recurring subscription.

To cancel the subscription, the user has several options: they may do so directly in the mobile application under the "my subscription" section, completely delete their account from "my account", request assistance via the email support@healthy-fork.com, or send a message to the support center within the application. It is important to note that memberships are non-refundable and, once canceled, the account will remain active until the end of the contracted period. The user also has the option to change the type of membership (monthly, quarterly, or annual) from the "my membership" section in the application. Any change to the membership will take effect at the conclusion of the current period. The subscription renews automatically at the end of each period.

Privacy of Information

To access the services offered by Healthy Fork, it is necessary for users to provide certain personal data required for HF's nutritional methodology. The personal information collected is processed and stored on servers or magnetic media that meet high standards of security and protection, both physical and technological. To obtain additional details about the handling of personal data and the circumstances under which it may be disclosed, we invite users to review our Privacy and Personal Data Policies. This documentation is designed to ensure transparency and provide confidence to our users regarding the responsible and secure treatment of their personal information.

Violations of the System or Databases

No action or the use of devices, software, or other means that attempt to interfere with the operational activities of Healthy Fork, as well as with its offers, descriptions, accounts, or databases, is permitted. Any interference, attempt, or activity that violates or contravenes intellectual property rights laws, industrial property, or the prohibitions established in this contract will make the responsible party subject to the pertinent legal actions and the sanctions stipulated in this agreement. In addition, the responsible party must indemnify for the damages caused as a result of such actions.

Sanctions & Suspension of operations

HF reserves the right to temporarily or permanently suspend the account of a user who infringes the community rules, good practices and customs, or Mexican laws. This action may include the temporary or permanent suspension of the account, the publication of a notice that could negatively impact the user's reputation, and the initiation of legal actions or other measures deemed appropriate in accordance with the general terms and conditions and other HF policies.

The situations that may lead to legal action or the permanent suspension of the service include, but are not limited to:

• The user's breach of any law, the use of HF to facilitate such breach, or the violation of the terms and conditions or other HF policies.
• Failure to meet payment commitments or general obligations as a user.
• Conduct that, in HF's judgment, is considered fraudulent or in bad faith.
• Lack of truthfulness in the data provided by the user, difficulties in corroborating this data, or data that turns out to be erroneous.
• Postings or other actions within the platform that HF considers to be the responsibility of the user who made them.

HF emphasizes the importance of adhering to all established regulations and policies in order to guarantee a safe and respectful environment for all users

System failures

Healthy Fork is not responsible for damages, losses, or harm to the user caused by failures in the system, the host server, or the Internet that prevent the correct execution and operation of the application. Likewise, HF will not be responsible for viruses that could infect the user's equipment as a result of accessing, using, or examining its website, or following any transfer of data, files, images, texts, or audio contained therein. Users may not attribute any responsibility nor demand compensation for lost profits due to harm resulting from technical difficulties or failures in the systems or on the Internet.

Healthy Fork does not guarantee continued or uninterrupted access to and use of its website. The system may be temporarily unavailable due to technical difficulties, updates, Internet failures, or other circumstances beyond HF's control; in these cases, work will be done to restore the service as quickly as possible, without this implying any type of responsibility on the part of Healthy Fork. In addition, HF will not be responsible for errors or omissions in the contents of its website.

Intellectual property & Links

The contents displayed on the screens related to the Healthy Fork services, as well as the programs, databases, networks, and files that allow the user to access and use their account, are the exclusive property of Healthy Fork. These contents are protected by national and international laws on copyright, trademarks, patents, and industrial models and designs. The improper use and total or partial reproduction of these contents is prohibited, unless there is express written authorization from Healthy Fork.

The Healthy Fork site may contain links to other websites that are not owned or operated by Healthy Fork. Since Healthy Fork does not control these external sites, it will not be responsible for the contents, materials, actions, and/or services provided by them, nor for the damages or losses caused by their use, whether directly or indirectly. The inclusion of links to other websites does not imply a partnership, relationship, approval, or endorsement by Healthy Fork of such sites and their contents.

Indemnity

The user undertakes to hold Healthy Fork harmless, as well as its affiliates, controlled and/or controlling companies, officers, directors, successors, administrators, representatives, and employees, against any claim initiated by other users, third parties, or by any governmental body related to their activities on the site, compliance with or breach of the General Terms and Conditions or other policies, as well as any violation of laws or rights of third parties.

To this effect, the user authorizes Healthy Fork to act in their name and on their behalf under the following terms:

• To intervene and represent them in such claims, having the power to enter into settlement agreements that it deems appropriate to avoid greater costs and/or contingencies.
• To withhold and debit from the user's account the existing and/or future funds to cover the expenses incurred in the agreements, including attorneys' fees and court costs in a reasonable amount.
• To generate specific debits in the user's billing to recover such costs.

This authorization allows Healthy Fork to effectively handle any legal dispute or claim involving the user and their activities on the platform, ensuring that any associated cost can be recovered appropriately.

Jurisdiction and Applicable Law

This agreement will be governed in all its aspects by the laws in force in the Mexican Republic, specifically with regard to data messages, electronic contracting, and electronic commerce, in accordance with the applicable federal legislation. Any controversy arising from this agreement, including its existence, validity, interpretation, scope, or fulfillment, will be submitted to the pertinent laws and the competent courts.

For the interpretation, fulfillment, and execution of this contract, the parties agree to expressly submit to the jurisdiction of the competent courts of Mexico City, Federal District. Consequently, they waive any jurisdiction that might correspond to them by reason of their present or future domicile. This provision ensures that any legal dispute related to the agreement will be resolved within the Mexican legal framework and under the jurisdiction of the specified courts.
